These terms apply to visitors, prospects, clients and users of the assisted operation service and other related services offered by Dacuit.

What falls within the commercial relationship

Covered services

Dacuit may offer, depending on the case, the following services:

Assisted operation: managed workspace for traceability, validation, closing and supervision, including hosting, backups, updates and monitoring.
Conversational assistant: automated attention over messaging, with verification before sending and escalation to a person on anything sensitive.
Dashboards and internal tools: review, export and operational control.
Implementation and automations: point solutions, lightweight automations and specific digital assets.
Support and maintenance: technical attention, stabilization and agreed improvements.

What the system decides on its own, and what a person decides

AI and automation

Part of the service runs automatically. This section states where that boundary sits, because a client is entitled to know which decisions a system takes on their behalf.

Actions may be deterministic, AI assisted or reviewed by a person, according to the risk of each one.
Human approval is required before any action that commits money, legal deadlines, obligations to third parties, invoices, or notifications to the client's own customers.
The assistant does not state figures that do not come from a query to the system. When the available information is not enough to answer with certainty, the reply is withheld and escalated to a person instead of being sent.
The client designates who receives those escalations and during which hours. Outside that window, pending items wait rather than being sent unreviewed.
The record of what was automated, what was withheld and who approved it is available to the client.

Automation does not transfer responsibility for the underlying obligation: an invoice issued through the system is still the client's invoice, and a commitment made to their customer is still their commitment.

Contracting process

1. Initial consultation

We start with a conversation to understand the context, review feasibility and define the right entry point.

2. Proposal or diagnosis

If applicable, we present a commercial proposal or an operational diagnosis with scope, timelines, deliverables and conditions.

3. Formalization

The final agreement is formalized through an accepted quote, service order or specific contract depending on the case.

4. Execution

Execution is carried out as agreed, with communication, deliverables and validations according to the project.

Prices, payments and billing

Quotes

Quotes are valid for 30 calendar days unless expressly stated otherwise.

Payment structure

Projects are usually billed by milestones. A common scheme is:

40% at the start of the project
30% at 50% progress
30% at closing or final delivery

Methods and currency

We accept payment methods enabled for Colombia. Amounts are expressed in COP unless otherwise agreed in writing.

Delays

Sustained payment delays may lead to suspension of the service and charges permitted by applicable law.

What is delivered and what is retained

Intellectual property and warranties

Specific code

Software developed specifically for a client may become the client’s once full payment is completed, unless a different agreement exists.

Reusable components

Dacuit retains ownership of libraries, patterns, components and generic reusable tools developed internally.

Warranty

We offer a reasonable warranty period to fix defects attributable to the agreed development, usually 90 days from final delivery.

Exclusions

Scope changes or new requirements.
Uncoordinated third-party interventions.
Infrastructure problems outside Dacuit.
Behavior or changes in third-party software.

Conditions for correct execution

Client responsibilities

Provide sufficient and truthful information about the project context.
Respond to queries and validate deliverables within reasonable times.
Designate someone responsible for business or scope decisions.
Make the agreed payments within the established deadlines.
Provide access, credentials or resources needed when applicable.
Use the services in accordance with the law and these terms.

Limits and closing scenarios

Termination, confidentiality and liability

Either party may terminate the relationship according to the agreed conditions. Work executed to date may be billed and delivered once the corresponding payments are settled.

Both parties must maintain confidentiality of the technical, commercial or proprietary information shared during the project.

Dacuit will not be liable for indirect damages, loss of income or business interruptions caused by factors outside its reasonable control. Total liability will not exceed what the client paid in the last 12 months, except where mandatory legal provisions apply.

Applicable law, changes and contact

These terms are governed by the laws of the Republic of Colombia. If a dispute arises, we will first seek to resolve it through direct conversation or mediation before resorting to judicial channels.

We reserve the right to update these terms. Changes take effect when published on the site.
